DEFINITIONS

Supplier, Merchant - a legal entity or sole trader selling goods and/or services to legal entities or sole traders.
Partner merchant – a Merchant who has signed up on Penenza and is named in Penenza’s product as a Partner Supplier or Partner Merchant.
Buyer - a legal entity or sole trader who pays for the Merchants' goods and/or services using the Penenza product.
Lender, Lending Partner – a third-party legal entity (Bank, NBFC, etc.) acting under applicable legislation that provides debt financing in the form of loans, credits, or credit lines.
Penenza product - a software product, including www.penenza.com, penenza.in any other linked pages, API keys, features, content, or application services (including but without limitations to any website, mobile application, or mobile site services) operated by the Penenza, which provides an opportunity for the Buyer to pay for goods and/or services of the Merchants, including with the involvement of debt financing from the Lenders.
Deferred payment plan - a payment scheme when the Buyer pays in full for the purchase of the Merchant’s goods and/or services after a specified period.
Installment plan - a payment scheme when the Buyer pays for the purchase of the Merchant’s goods and/or services in equal parts during a specified period.
Merchant’s payment plan – installment plan or deferred payment plan that is configured by the Merchant in the Penenza product. Configuration includes the type of payment plan – installments or deferrals, tenures, the amount of fees and interest that will be compensated to the Buyer from the Merchant's commission.
Buyer’s payment plan – installment plan or deferred payment plan, which is selected from the Merchants’ plans or configured by the Buyer himself in the Penenza product.
No processing fee payment plan – a merchant’s payment plan when the sum of payments and received money equals the price of purchased goods and/or services plus interest charged for provided purchase financing, and no additional one-time fee is charged.
Interest-free (zero-interest) payment plan – a merchant’s payment plan when the sum of payments and received money equals the price of purchased goods and/or services, and no additional fee or interest is charged.
Penenza financial services– debt financing provided by the Lenders to the Buyer for the purchase of goods and/or services of the Merchant for a specified installment or deferred payment period. The Buyer pays the total cost of the purchased goods and/or services to the merchant using borrowed funds provided to him by the Lenders, after which the Buyer repays these loans during a specified installment or deferred payment Period.
Penenza marketing services - services provided by Penenza to assist in the sale of goods and/or services of the Merchant in the form of providing Buyers the ability to pay by installments or with deferred payment using the Penenza product.
Point of sale - all wholesale stores, online stores, Internet sites, or other points of sale of the Merchant.

1.  GENERAL

1.1. This document is a proposal of "Penenza India Private Limited," a company incorporated under the provisions of the Companies Act, 1956 and having its registered office at 806, Souravya, 10A Main Indiranagar, Bangalore, Karnataka, PAN AANCP3230F, GSTIN 29AANCP3230F1ZE, hereinafter referred to as Penenza, addressed to legal entities and sole traders signed up for the Penenza product hereinafter referred to as the Customer.

1.2. This Agreement is considered to be concluded between Penenza and the Customer from the moment of acceptance given by explicit consent when signing up for the Penenza product.


1.3. It is not allowed to access or use the Penenza product unless the Customer agrees to comply with all the terms and conditions in this Agreement. The Customer should therefore read this Agreement carefully and make sure to understand it.

1.4. The Customer can act in Penenza product as a Merchant (Supplier) and/or as a Buyer in accordance with the definition given above. The acceptance given by the Customer indicates consent to the terms and conditions for Merchants and for Buyers, as well as to the Additions and General parts of this document given below

2.  THE PROPOSAL

2.1. Penenza undertakes to provide the Merchant with the Penenza marketing services, and the Merchant undertakes to pay for such services in accordance with the terms of the Agreement.      

Children’s personal information

If you are a parent or a legal guardian of an underage child, and you know that the child has provided us with their personal information without your consent, please contact us on: info@penenza.com. It is forbidden to enter personal data of underage users without the agreement of parents or lawful guardians.
Processing of personal data by other services

This website uses third-party online services, which perform data collecting, independent from us. Such services include: Google Analytics, Facebook.com.
Data collected by these services may be provided to other services within those organizations. They can use the data for advertising personalization of their own advertising network.
